When opening an online exercise in Carta, you will be sending some documents to your grantholders to give them the chance to exercise their options. Carta offers the possibility of sending the Exercise Notice, Form Section 431 (1) and (2) and Deed of Adherence as dynamic documents.
A dynamic document means that you can create a template version of the document (.word) and populate it with placeholders. Placeholders are snippets of text that will pull information from the platform into the documents making it possible to create personalized documents automatically and send them to your grantholders for signing.
This support article will cover the standard placeholders used in Form Section 431 (1) and (2) in three sections:
Required Placeholders
These are placeholders that are required in all types of Forms 431 (1) and (2). Without inputting them in the document, Carta will not let you proceed uploading it onto the platform.
Please note that there are some required signature placeholders for this type of document. They will be flagged in the Signature placeholders section of this support article.

Signature Placeholders
Signature placeholders may be optional or not. For Forms 431 (1) and (2) both the grantholder and the issuer's signatures are necessary. However, administrators may want to include witnesses and other signatories in the document execution.
