Use the company registers feature on Carta to facilitate the generation of the filings related to PSCs.
The Register Of PSCs (Persons With Significant Control) is a statutory register that obliges companies keeping Companies House up to date record of their PSCs. This article will describe the steps necessary to add a PSC and generate the appropriate filing.
Adding a PSC
1. Make sure to enable the Company registers and filings feature. Navigate to Settings > Settings and add-ons and check Use company registers and filings on Carta box.
2. Navigate to Company registers > PSCs and click Add PSC.
3. Select the appropriate PSC type from the box. For the matter of this guide, select Individual person with significant control (PSC).
Make sure to check with your legal counsel which PSC type to select in case you have any questions.
4. Follow the flow to add the PSC (it is possible to add it from the stakeholders list or add it from scratch). At the last step, it is possible to preview the appropriate filing (PSC01 in this case) and/or generate it. Click Continue to save and finish adding the PSC.
Ceasing a PSC
1. Navigate to Company registers > PSCs and from the actions button on the far right-hand side, select Mark as ceased.
2. Fill out the required information and click Mark as ceased. It is possible to preview and/or generate the PSC07 filing from this step as well.
Filings that can be generated with the Register OF PSCs
Depending on the type of the PSC, different filings will need to be generated. Carta support the following filings:
- PSC01 - To file the notice of an individual person with significant control (PSC);
- PSC02 - To file the notice of a relevant legal entity (RLE);
- PSC03 - To file the notice of other registrable person (ORP);
- PSC04 - To file the change of details for an individual people with significant control (PSC);
- PSC05 - To file the change of details for a relevant legal entity (RLE);
- PSC06 - To file the change of details for other registrable person (ORP);
- PSC07 - To file the notice of ceasing to be a PSC, RLE or ORP;
- PSC08 - To file the notification of PSC statements;
- PSC09 - To file an update to your PSC statements.
To generate the filings, navigate over to Navigate to Company registers > PSCs click Filings and select the appropriate one.
