Carta can assist you and/or your Company Secretary with creating accurate statutory company registers and filings.
Currently Carta supports the following Company Registers:
- Register Of Members;
- Register Of Allotments;
- Register Of Transfers;
- Company Secretaries;
- Register Of Directors;
- Register Of PSCs.
Once you've completed the set-up, you'll be able to use additional features like share certificates and file to Companies House in 1 click with Carta's integration.
Company Registers Set-up
1. Navigate to Compliance > Company Registers > Register set-up and click Get started.
If you are not seeing this section, please make sure you have the feature enabled. Navigate to Company settings > Settings and add-ons and check Enable company registers and Companies House filings. Save.
2. Provide your company details:
- Company authentication code: This is a 6 digit alphanumeric code issued by Companies House. We require this code to file data online on your behalf to Companies House.
- Presenter ID: This is a 11 digit alphanumeric code issued by Companies House to enable you file company accounts and documents using software. For filings that require a fee, you'll need to provide your presenter credit account ID.
- Presenter authentication code: This is a 11 digit alphanumeric code issued by Companies House when you apply for a presenter account to file company accounts and documents using software.
3. Review your share register entries, deselect transactions that are still ongoing or not yet completed to ensure that share certificates remain in draft and click Continue.
4. Review your members, current and ceased. Click Continue.
You can modify these dates later once you complete the set-up.
5. Review your company officers and people with significant control (PSCs) that will be published to your registers.
6. Confirm your registers are ready to be published, mark the checkbox and click Confirm and complete set-up.
Please note, the company registers feature is only available for UK companies. Furthermore, it is only possible to generate share certificates if the company registers and filings is enabled. |
Register Of Members
The Register Of Members is the main register related to transactions. From there it is possible to export a Register Of Members in a pdf or excel format. The ROM can be extremely useful when the company needs to provide a detailed document that shows all transactions and current balance of their shareholders. Register Of Allotments
The Register Of Allotments is the register that will contain all share issuances on the account. From there it is possible to generate SH01 filings for each allotment and export the register on an excel format. Find more about the this register in this support article.
Register Of Transfers
Similarly to the Register Of Allotments, the Register Of Transfers will contain all transfers that happened on the company and that have been put into register. It can be exported as an excel file as well. This support article details goes over the Register Of Transfers.
Company Secretaries
This feature allows company admins to keep an up to date register of their co-secs and generate filings related to co-sec appointments, changes and terminations. Read more about the Company Secretaries feature here.
Register Of Directors
It is also possible to create a register of directors and generate the related filings such as appointments, changes and terminations of company directors. The step by step of this register can be found here.
Register Of PSCs
PSC stands for Person with Significant Control. A person with significant control (PSC) is someone who owns or controls your company. They can be called ‘beneficial owners’. The Companies House require that any PSC should be reported and the Register Of PSCs feature can assist on generating the appropriate filings.
