Carta now offers a complete co-sec workflow, from generating a register register of members, to issuing electronic share certificates just in a few clicks.
The share certificate feature is part of the co-sec solution on Carta, meaning that in order to use the feature you will need to enable co-sec on Carta.
Setting Up Share Certificates For The First Time
1. Make sure the Company Registers feature is enabled. Navigate to Company settings > Settings and add-ons.
2. Click Company registers, share certificates and Companies House filings, check the box to enable the company registers, share certificates and Companies House filings and save it.
3. Navigate to Shares > Share certificates and click Set up registers.
4. Click Get started to initiate the wizard.
5. First step of the wizard would be connecting Carta with Companies House. Fill out the required information and click Continue.
- Company authentication code: This is a 6 digit alphanumeric code issued by Companies House. We require this code to file data online on your behalf to Companies House. Please refer to this page to learn more about it;
- Presenter ID: This is a 11 digit numeric code issued by Companies House to enable you file company accounts and documents using software. You can see more about this process here;
- Presenter authentication code: This is a 11 digit alphanumeric code issued by Companies House when you apply for a presenter account to file company accounts and documents using software. Refer to this page with a step by step.
A Companies House Credit Account is required in order to file the CS01 through Carta. Refer to this link for more about applying for a credit account. |
6. Review your share register entries and click Continue.
7. Review your members and click Continue.
8. Review your company officers and PSCs and click Continue.
9. Check the box to confirm the registers are ready to be published and click Continue.
10. If company has multiple share classes, determine the certificate starting number for each class.
11. Select which template to be used. Selecting Carta's template will upload a template with all required placeholders for a witnessed share certificate. Click Continue.
12. It also is possible to use a custom template. Select "Custom template" from the dropdown and click Upload template.

13. Once the certificates have been processed, click Continue and send for signing.
14. Signature tasks will be generated for the company signatory. Once they sign for all share certificates, click Continue to finish the set up.
