Populate and share EIS3 certificates among your investors digitally with Carta.
Creating EIS3 certificates can often be the longest and most arduous step in securing the EIS tax relief for investors.
Please note, Carta does not handle the EIS Advance Assurance or EIS1 on the company's behalf. Ensure these filings are generated outside of the platform. |
The following steps are necessary to begin populating EIS3 certificates:
- Setting up Carta to generate EIS3 certificates
- Uploading EIS Advance Assurance
- Uploading EIS1
- Generating and signing the EIS3 certificates
Setting up Carta to generate EIS3 certificates
1. Navigate to Settings > Settings and add-ons, find the EIS/SEIS Add-on and tick the Enable EIS checkbox.
2. When issuing new shares, make sure to click the EIS dropdown and check EIS transaction.
3. It is possible to mark shares as EIS that have been already issued. Navigate to Shares > Transactions, click on the Actions Button on the right-hand side of the issuance and select Mark as EIS.
Next step would be uploading an EIS Advance Assurance.
Uploading EIS Advance Assurance
1. Navigate to Filings > HMRC, click Register filing > EIS Advance Assurance
2. Upload the Advanced Assurance and click Register filing.
3. Click Back to HMRC filings.
4. Click the actions button on the far right and select Mark as filed.
5. Assign a date and click Mark as filed.
5. If HMRC has approved the Advance Assurance, click the actions button once again and select Mark as approved.
7. Enter the approval date and upload the approval document. Click Mark as approved.
The document will now be logged as approved and you can proceed to upload your EIS Compliance Statement.
Uploading EIS1
1. Navigate to Filings > HMRC, click Register filing > EIS compliance statement.
2. Add the EIS Compliance Statement, select the Advanced Assurance from the dropdown and choose either all non-filed EIS share issuances or a date range to select a group of issuances. Finally click Upload EIS1 filing.
3. From the actions button on the far right of the EIS compliance statement (EIS1), select Mark as filed.
4. Enter the date of filing and click Mark as filed.
5. If HMRC has approved the EIS1, click the actions button once again and select Mark as approved.
6. Enter the required information and upload the EIS2 certificate. Click Mark as approved.
You can now generate your EIS3 Certificates.
Generating and signing EIS3 certificates
Ensure the administrator who will be signing is a a signatory.
1. Navigate to Filings > HMRC and from the actions button EIS certificate (EIS2) select Send EIS3 for signing.
2. Click Continue.
3. Carta will work creating the certificates. Once generated, click the actions button on the far right and select Configure signatories.
4. Assign the signatories accordingly and click Save.
5. Navigate to Tasks and click Review and sign EIS certificate (EIS2).
7. This will open a side drawer, click Actions > Review and sign.
8. You will be redirected to Docusign. Enter your electronic signature and click Finish once done.
The EIS3 will be published under the relevant transaction and the investors will receive an email telling them the signed EIS3 is now ready for downloading.
