Converting Shares to a Different Share Class (In Bulk)

You can import share conversions in bulk using an excel spreadsheet available in Carta. 

Share conversions can be easily reflected in the platform individually or in bulk with the aid of an import file (excel spreadsheet). All shares are linked to a share class, so make sure that you already have a share class created.

 

1. Navigate to Ownership > Shares > Transactions.

 

2. Click Register transaction > Import shares.

 

3. Click on Download to obtain the excel spreadsheet.

 

4. Complete the downloaded spreadsheet. These are the mandatory fields when reflecting Conversions:

  •  
  • First name [Column A] - Completed in case your shareholder is an individual.
  • Last name [Column B] - Completed in case your shareholder is an individual.
  • Registration number [Column D]- Completed in case your shareholder is a company/entity. It is the ID number of company registered with authorities. 
  • Company name [Column E]- Completed in case your shareholder is a company/entity. 
  • Country [Column J] - Country of residence of an individual stakeholder or country of incorporation of the entity. Format of ISO ALPHA-2. 
  • Email [Column K] - Email address of the recipient of the new issuances.
  • Stakeholder category [Column l]- Choose the category that best applies to your stakeholder from one of the options in the drop-down menu in the spreadsheet.
  • Seller share class [Column U] - Share class of the shares that are being converted.
  • Price [Column Y]- Price per share of the transaction.
  • Quantity [Column Z] - Number of shares being cancelled.
  • Date of Transaction [Column AA] - Cancellation date of the shares.
  • Share class [Column AB] - The share class of the shares that are being cancelled.
  • Note [Column AJ] - Reason for the conversion or any other applicable details.

5. Click Upload and select the completed spreadsheet from your computer.

 

6. Click Import data once the file is uploaded.

 

7.  The platform will process the data in the file as drafts. Click Publish to publish the transactions or Review Imported Data to review them in draft status.

 

8. In case your file needs adjusting, you will be able to download the processed file with the errors. The  

 

 

9. To troubleshoot the file, look for the cells highlighted in red and hoover your cursor over the highlighted cell which will contain comments that will help correct the error.

 

10. Reimport the processed file once all errors are fixed to proceed.
