This article explains how you can generate share certificates for your shareholders.
When issuing shares, you will need to issue a share certificate to your shareholder, we are able to help you generate and sign this on Carta.
1. Make sure to enable the share certificates add-on. Navigate to Settings > Settings and add-ons and check the Enable Carta share certificates box under Registers, Companies House filings and share certificates. Note that the company registers feature needs to be enabled as well.
Please note that share certificates will only be generated if the Register Of Members has been created. This support article shows how to create the Register Of Members.
2. Navigate to Ownership > Shares > Certificates and click Generate.
3. Enter the required information (marked with an asterisk) and click Upload template.
4. Select the type of share certificate (witnessed or signatureless), give it a name and click Add dynamic document.
5. Click Choose file to upload the template. It is possible to download a sample file as well. Make sure to add all required placeholders to the template. Furthermore, refer to this support article on creating a share certificate template.
Once the template has been uploaded, click Save.
6. Click Next.
7. Carta will run a quick check if there any required placeholders is missing. It is also possible to preview the share certificate. Click Finish.
8. You will be redirected to the generate share certificate screen. Click Generate.
Once generated, the following statuses are possible:
- Draft: This is when the issuance is recorded as drafts on Carta
- Registered: This is when the issuance is published to the register on Carta
- In Signing: This is when the share certificate is sent for company signing
- Signed: This is when the share certificate is signed (either signing executed on Carta or have uploaded a signed share certificate document) and the shareholder will be able to view the share certificate
- Cancelled: This is where previously signed certificates have later been replaced/updated
Please note, for the status Draft, Registered and In Signing, the shareholder will not see the share certificate. They will only see it when it is signed (the status will be Signed or Cancelled).
9. Once the share certificates are Registered, click the actions button on the far right hand side of the share certificate for a list of actions:
- Send for signing: if the signature process will be handled in Carta
- Uploaded signed document: if the signature process happened outside Carta and the share certificate has been already signed
- Change certificate number: if you would like to change the certificate number
- Reapply template: if the template has changed and an update is needed
Please note, the share certificate option is only available for UK, Jersey and Ireland companies. Carta generates a certificate per shareholder per share class i.e. if they have invested in multiple rounds, we will consolidate the issuances into one certificate per share class, as Carta does not generate a share certificate per transaction. |
