EMI share plans from Capdesk ๐
Want to start issuing EMI options to your employees? You need to set up an EMI share plan first.
An EMI share plan from Capdesk is the fast, simple and seamless way to set up your option scheme in the UK. Best-practice document templates and support from an in-house analyst will ensure your EMI share plan follows market standards and regulations, so you can grant employee equity with peace of mind. Design your scheme, prepare the documentation and issue equity to your employees in a matter of weeks, all on a single platform.
Youโll need to have a company valuation approved by HMRC before issuing EMI options to employees, otherwise the tax benefits of EMI are not guaranteed. A Capdesk subscription includes company valuations and online issuances through our platform, so request a valuation through Capdesk and weโll get pre-clearance from HMRC on your behalf - youโre covered from start to finish with one solution.
You can find the details here.

Add multiple online exercise document sets ๐ฏโโ๏ธ
You can now add multiple online exercise document sets for each equity plan. This will help with companies that issue options to different jurisdictions under the same plans, where the agreement documents might differ by country. You can select the relevant document set at the point of opening the exercise, as outlined here.ย
ย
Vesting Schedule in a tabular format ๐
You can now add the vesting schedule in a tabular format to your grant agreements signed in Capdesk. You simply need to add the necessary placeholders into a table in the grant agreement template on the platform. Full guidance on how to do this can be found here.

Improvements to the Company Setup page ๐งณ
We have made some improvements to the company setup page, to improve the go-live process for administrators. The progress bar now tracks all steps in the page, and the numbers are consistent with the order of the steps. There are now further validation checks, and a tick box to confirm that the data has been checked.
ย
Support for buybacks ๐ธ
We now support buybacks as a cancellation reason for all equity awards. This allows companies to buy back from the vested portion of a grant. Simply select 'buyback' when registering a cancellation to return the vested shares to the incentive pool.
